PASG Equipment Lease Agreement

Article 2 – Leased Equipment and Quantity
Party A agrees to lease the following equipment to Party B. Party B shall use and maintain the equipment in accordance with the terms of this agreement:

Article 3 – Lease Term
The lease term shall begin on ______ (Year) ______ (Month) ______ (Day) and end on ______ (Year) ______ (Month) ______ (Day), totaling ____ months. (Lease term: 10 to 20 years)
This agreement may be extended or terminated upon mutual written consent one month prior to the expiration date.
Article 4 – Rent and Payment Method
The rent is calculated based on actual electricity consumption, with an estimated monthly rent per unit of NTD 132,000.
(Reference: NTD 6 per kWh × Estimated 22,000 kWh monthly usage)
Party B shall pay the monthly rent by the 5th of each month to the following designated account:

In case of late payment, Party A reserves the right to charge a penalty of 0.5% per day.
Every even month, based on the electricity bill from Taipower:
Electricity bill amount ÷ usage = unit rate per kWh
Unit rate × 22,000 kWh = Monthly electricity cost
The final rent shall be 15% less than this cost. The difference shall be settled in the following month (refund or additional charge).
Article 5 – Warranty and Maintenance
Party A shall be responsible for installation, activation, warranty, and remote monitoring services.
During the lease period, Party A shall provide free repairs, regular maintenance, and OTA (Over-the-Air) system updates.
Party B shall not move, dismantle, or modify the equipment without authorization. If damage is caused by human error, Party B shall be liable for compensation.
Article 6 – Usage Restrictions and Safety Responsibility
Party B shall operate the equipment according to standard instructions and shall not sublease, assign, or use it for other purposes.
If any damage, fire, or accident occurs due to misuse, Party B shall bear full responsibility.
The generated electricity is for internal use only and may not be sold or grid-connected unless a separate interconnection agreement is signed.
Article 7 – Insurance and Damage Handling
Party A shall obtain the following insurance coverage during the lease period for asset and investment protection:
Property damage insurance (for the equipment itself)
Comprehensive equipment insurance (including natural disasters, power surges, fire, lightning, etc.)
Product liability insurance (covered by the original equipment manufacturer)
Party B shall be responsible for operational risks at the site and is recommended to obtain the following:
Third-party liability insurance (for any injury caused by improper equipment usage)
Fire insurance / Business interruption insurance
In the event of disaster or damage to the equipment, Party A shall apply for claims and carry out repairs. However, if the insurance claim is denied due to Party B's breach, misuse, or negligence, Party B shall compensate proportionally.
If the equipment is beyond repair, Party A shall proceed with replacement or disposal accordingly.
Article 8 – Termination and Early Cancellation
Either party wishing to terminate the lease early shall notify the other party in writing 30 days in advance.
If Party B cancels the lease without cause, it shall pay Party A 50% of the remaining lease rent as a penalty.
If Party A fails to fulfill its obligations regarding maintenance or power supply, Party B may terminate the agreement without penalty.
Article 9 – Rights to Smart Energy Data
Operational data, electricity usage information, and energy-saving reports generated by the equipment shall belong to Party A and its platform.
Party B may request to use reports, monitoring dashboards, and operation data for ESG or RE30 reporting purposes. Party A shall provide support accordingly.
Article 10 – Dispute Resolution
Any disputes arising from this agreement shall be resolved through mutual good-faith negotiation. If unresolved, both parties agree that the Taipei District Court shall have jurisdiction as the court of first instance.
This agreement is made in duplicate, with each party holding one original copy as proof.
